1. Acceptance of Terms
Welcome to Consuldent. By accessing our website (consuldent.com.au) and using our dental practice consulting services, you agree to comply with and be bound by these Terms and Conditions. If you do not agree to all of these terms, please do not use our website or services.
2. Services
Consuldent provides consulting services for dental practices, including but not limited to:
- Technology and AI implementation (PMS optimisation, chatbots, automation)
- Customer experience improvement (phone scripts, onboarding, recall systems)
- Team training and development (front desk, practice managers, clinical staff)
- Dental practice growth strategy and implementation
The specific scope, deliverables, and timelines will be detailed in individual engagement agreements or proposals provided to you.
3. User Responsibilities
When using our website and services, you agree to:
- Provide accurate and complete information about your dental practice
- Ensure you have authority to engage consulting services for your practice
- Provide necessary materials, access, and cooperation in a timely manner
- Review and provide feedback within agreed timeframes
- Not misuse, copy, or modify our website content without written permission
- Comply with all applicable Australian laws and regulations
4. Engagement Process
Our standard engagement process includes:
- Initial Consultation: Free 30-minute call to understand your practice needs
- Proposal: Customised proposal outlining scope, deliverables, timeline, and investment
- Agreement: Formal engagement agreement before work commences
- Implementation: Project execution with regular check-ins and progress reports
- Review: Outcome measurement and ongoing support as applicable
5. Payment Terms
Payment terms will be specified in individual engagement agreements. Standard terms include:
- 50% deposit required before project commencement
- Remaining 50% due upon project completion or as specified
- Payment methods: Bank transfer, credit card (additional fees may apply)
- Late payments may incur interest at 10% per annum
6. Intellectual Property
Upon full payment, you will own the deliverables created specifically for your dental practice as outlined in your engagement agreement. Consuldent retains ownership of:
- General methodologies, frameworks, and methodologies
- Templates, tools, and processes developed for general use
- Pre-existing materials and intellectual property
We reserve the right to use anonymised learnings and insights for industry improvement, with no disclosure of your practice's specific information.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information, patient data (in accordance with the Privacy Act 1988 and Australian Privacy Principles), business processes, and strategic information shared during the engagement. This obligation survives termination of our agreement.
8. Limitation of Liability
Consuldent's liability is limited to the fees paid for the specific service in question. We are not liable for indirect, incidental, or consequential damages including loss of revenue, profit, or business opportunities. We do not guarantee specific business outcomes as results depend on many factors beyond our control.
9. Termination
Either party may terminate an engagement with written notice. Upon termination:
- Payment is due for all work completed up to the termination date
- Deliverables completed prior to termination will be provided upon full payment
- Confidentiality obligations continue post-termination
10. Governing Law
These Terms are governed by the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.
